Roderick (Rod) Nicholas was appointed Chairman of Skin Elements Limited (ASX: SKN) on 24 June 2026, having initially joined the Board as a Non-Executive Director on 24 February 2026. A substantial shareholder in the company, Rod brings over 30 years of executive leadership, commercial scaling experience, and operational discipline across the consumer products, food, retail, financial services, and biotechnology sectors. He holds a Bachelor of Arts in Training & Development from Edith Cowan University alongside a Diploma in Business.

As Group CEO & Managing Director across Kingsbury Wealth, Kingsbury Investment Fund, and the Tarrod Group (including Tarrod Enterprises and Tarrod Investments), Rod directs multi-sector capital deployment and operational management. His track record includes scaling a multi-site retail enterprise under the Tarrod Group to approximately $15M in peak annual turnover and over 250 employees prior to a successful strategic commercial exit.

On the Board of Skin Elements, Rod focuses on high standards of corporate governance, strategic oversight, and driving sustainable long-term shareholder value.

Mr Peries was appointed as a Non-Executive Director on 23rd June 2026.

Mr Peries is a highly experienced financial services professional with over 21 years of industry experience, primarily gained through his career with National Australia Bank (ASX: NAB).

Mr Peries has extensive experience in project and corporate finance, particularly within the mining and metals sector. His expertise includes credit evaluation, debt structuring, technical risk assessment, sustainability analysis, and the delivery of complex financing solutions for corporate clients.

Mr Peries is also a Non-Executive Director of Reedy Lagoon Corporation (ASX: RLC), an ASX-listed mineral exploration company focused on gold and iron ore (magnetite) projects.

Mr Peries holds a Bachelor of E-Commerce from Curtin University of Western Australia.

Mr Gordon joined the Board of Skin Elements Limited in early 2026 and is an experienced small-cap investor and corporate finance professional with a strong background in investment, corporate development and capital raising across ASX-listed emerging companies.

He brings extensive experience in identifying and evaluating investment opportunities, originating and structuring corporate transactions, and supporting the growth and strategic development of small-cap companies. Mr Gordon holds a Bachelor of Commerce (Finance) from Monash University and a Master of Management (Accounting) from the University of Melbourne. He is also a Non-Executive Director of Dalaroo Metals Limited (ASX: DAL), Critical Resources Limited (ASX: CRR) and Anagenics Limited (ASX: AN1).

Mr Spindler was appointed as a Non-Executive Director on 22nd June 2026. Mr Spindler is an experienced corporate professional with a broad range of corporate governance, capital markets, finance and ASX compliance spanning 24 years. He has extensive experience supporting ASX-listed companies through IPOs, reverse takeovers, capital raisings, mergers and acquisitions, and ongoing regulatory and statutory compliance.

Mr Spindler has held a number of company secretarial and director roles for ASX-listed entities across the resources, technology and energy sectors, with operations in local and internal jurisdictions. He is a member of Chartered Accountants Australia and New Zealand and an Associate of the Financial Services Institute of Australasia. He is also a Non-Executive Director of Lithium Universe Limited (ASX: LU7).
